Past Royalties for the Total Offering

These figures reflect aggregate royalties for the rights included in the offering, not per-share payouts. Any returns to a SongShare holder will depend on the number or percentage of SongShares owned, as set forth in the Royalty Share Agreement. Because royalty reporting and payments are typically delayed, the amounts shown may reflect earnings from periods occurring approximately 3 to 6 months earlier, and in some cases longer.
The Administrative Fee (i.e., the amount to be paid to our company as a percentage of the value of the royalty payments collected by our company to be distributed to holders of Royalty Share Units is 5.00%.
Royalty Share Agreement Terms
Ownership of a SongShare represents a security interest in a Royalty Share Agreement between SongVest and the seller of the underlying royalty rights.
Under the Agreement:
- What You Own – A SongShare gives you the contractual right to receive your proportional share of proceeds that SongVest receives from the royalty rights described in the applicable offering materials.
- Duration – Your rights continue for the term described in the applicable Royalty Share Agreement and offering materials.
- How Payments Work – SongVest pays distributions quarterly based on royalties collected during the applicable quarter, with each SongShare holder receiving proceeds according to their proportional ownership interest.
- Reporting – Statements, accountings, and reports received from the applicable payor, administrator, collection society, distributor, publisher, label, or other royalty source will serve as the basis for determining the revenues available for distribution, except in the case of manifest error.
